1. Who you are contracting with
These Terms & Conditions ("Terms") form a binding agreement between you and Liqwyd, the company operating the Flow platform ("Flow", "we", "us") and govern your access to and use of our website, the Flow platform, and related mobile bar and staffing services (the "Service").
2. Acceptance
By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you are an individual, you confirm you are of legal age in your jurisdiction.
3. The Service
LIQWYD provides a platform for event staff bookings, and tools for staff to manage availability, profiles, and bookings. Premium plans unlock additional features such as discounts on bookings, priority access, and reduced rush fees.
4. Accounts and accurate information
You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account.
5. Acceptable use
You must not:
- Use the Service unlawfully or for fraudulent, deceptive, or harmful purposes.
- Infringe any intellectual property or other rights of LIQWYD or third parties.
- Send spam, malware, or attempt to probe, scan, or test the vulnerability of the Service.
- Scrape, harvest, or extract data except through documented interfaces and with permission.
- Interfere with the integrity, security, or performance of the Service.
6. Intellectual property
LIQWYD retains all rights, title, and interest in the Service, including software, designs, branding, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within your selected plan.
7. Payments, subscriptions, and our reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, tax, subscription renewal, cancellation, and refund mechanics are governed by Paddle's Checkout / Buyer Terms. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your billing settings or via Paddle; access continues through the end of the paid period.
8. Bookings between clients and staff
LIQWYD facilitates introductions and bookings between clients and event staff. Specific event arrangements (times, scope, on-site conduct) are managed through the Service; clients and staff are responsible for performing in good faith. LIQWYD is not a party to the underlying service agreement between a client and the assigned staff except as expressly stated.
9. Service availability
We aim to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.
10. Suspension and termination
We may suspend or terminate your access to the Service if:
- You materially breach these Terms;
- Payment for your subscription fails or is reversed;
- We reasonably suspect fraud, abuse, or a security risk;
- You repeatedly or seriously violate our policies or applicable law.
You can terminate by cancelling your subscription and closing your account.
11. Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, consequential, special, incidental, or punitive damages, including loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or related to the Service will not exceed the fees you paid to Paddle for the Service in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
12. Indemnity
You agree to indemnify and hold LIQWYD harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.
13. Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email and will take effect on the date stated.
14. Governing law
These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules. The courts located in Wake County, North Carolina, will have exclusive jurisdiction over any dispute, subject to mandatory consumer protections in your country of residence.
